End User License Agreement

WARLRD Rentals · rent.warlrd.com · Effective October 24, 2026

This End User License Agreement (the "EULA") is a legal agreement between you and WARLRD Rentals ("WARLRD", "we", "us"). It licenses the software that runs rent.warlrd.com: the online catalog and cart, the booking component we place on other websites, the customer account, the office portal and yard check-out tools used by our staff, the connection to Intuit QuickBooks, and the emails and text messages they send (together, the "Platform").

Two kinds of people use the Platform. A Renter requests, pays for and signs for equipment. A Business User is a company, and each of its owners and staff, that uses the Platform to run its own rental operation, including connecting its own QuickBooks Online company. By opening an account, clicking "I agree", connecting QuickBooks, or otherwise using the Platform, you accept this EULA. If you accept on behalf of a company, you confirm you have authority to bind it.

This EULA sits alongside our Terms of Use (how the website and booking tools may be used), our Privacy Policy (how we handle personal information) and, for Renters, the Master Equipment Rental Agreement signed at checkout, which governs the equipment itself. If this EULA conflicts with the Rental Agreement about the equipment, the Rental Agreement controls.

1. License

Subject to this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform, through a supported web browser, for its intended purpose: for Renters, to request, pay for, sign for and manage equipment rentals; for Business Users, to manage their own fleet, bookings, customers, payments and accounting connection. A Business User may place our booking component only on websites it registers with us in the Platform's settings. All rights not expressly granted are reserved. The Platform is licensed, not sold.

2. Restrictions

You will not, and will not let anyone else: copy, modify, translate or create derivative works of the Platform; reverse engineer, decompile or try to extract its source code, except where the law forbids this restriction; rent, lease, lend, sell, sublicense, host or resell the Platform or use it to provide services to third parties, except as a Business User under a written agreement with us; scrape, crawl or use automated means to access it other than through interfaces we publish for that purpose; probe, bypass or interfere with its security, rate limits or access controls; use another person's credentials or sign-in link; remove or alter any notice, branding or attribution; use it to build a competing product; or use it in violation of law, Intuit's terms (Section 5) or our Terms of Use.

3. Accounts and security

Renters sign in through one-time links sent to their email address; keep that mailbox secure. Business Users sign in with passkeys or passwords and may create accounts for their staff. A Business User is responsible for everything done under its accounts, for choosing appropriate roles for staff, for removing people who leave, and for telling us at once if an account, device or sign-in link is compromised. We may suspend an account that we reasonably believe is compromised or being misused.

4. Your data

You keep ownership of the information you put into the Platform ("Your Data"): customer records, bookings, photos, videos, signed agreements, notes and accounting records. You grant us a worldwide, royalty-free license to host, copy, process, transmit and display Your Data only as needed to provide, secure, support and improve the Platform, to comply with law, and as the Privacy Policy describes. You are responsible for having the rights and consents you need for Your Data, including for photographs of people, identification documents and job sites, and for complying with privacy and consumer-protection laws that apply to your business. We will not sell Your Data or use it for third-party advertising.

5. QuickBooks Online and QuickBooks Payments

The Platform can connect to a Business User's QuickBooks Online company and QuickBooks Payments merchant account, both provided by Intuit Inc. ("Intuit"). This Section applies to that connection and to every Renter payment that runs through it.

  • Authorization. The connection is optional. A Business User authorizes it through Intuit's own sign-in (OAuth 2.0) with the accounting and payment scopes. By connecting, you authorize the Platform to read and update the following in your QuickBooks company on your behalf: company information; customers; products and services (items); invoices; payments; sales receipts; stored card tokens; and card charges, authorization holds, captures, voids and refunds. You also authorize Intuit to send the Platform notifications when invoices, payments or customers change (webhooks) so your rental records stay current.
  • What we do with it. We access QuickBooks data only to provide the Platform to you: to match or create customers, raise and track invoices, take Renter payments, place and release deposit holds, issue receipts and keep your rental records in step with your books. We do not sell it, use it for advertising, use it to build profiles or make credit decisions, share it with anyone other than your own authorized users and (for their own transactions) your Renters, or use it to train models.
  • How it is protected. Access and refresh tokens are stored encrypted on servers we control, are never shown in a browser or written to logs, and are refreshed only when they are about to expire. Our Intuit client secret is kept on the server. All traffic to Intuit is encrypted. Records we hold are described in the Privacy Policy.
  • Card data. Renters' full card numbers and security codes are entered on a form served by Intuit and tokenized in the Renter's browser; they never reach the Platform's servers. The Platform stores only Intuit's token, the card brand, last four digits, expiry and billing zip code. Nobody may type, upload, message or store a full card number or security code anywhere in the Platform.
  • Disconnecting. A Business User may disconnect at any time from Settings → QuickBooks in the office portal, or from the connected-apps settings inside QuickBooks Online. When you disconnect, or when Intuit revokes the connection, we revoke and delete the tokens, stop all calls to Intuit, and the connection cannot be used again without a fresh authorization. Copies of records already in your rental history (invoice numbers, payment status, receipts, customer links) remain in your account as your business records; you may ask us to delete them, subject to Section 9 and legal retention requirements.
  • Not an Intuit product. The Platform is developed, operated and supported by WARLRD, not by Intuit. Intuit is not a party to this EULA, does not endorse the Platform, gives no warranty for it and has no liability to you for it. Your use of QuickBooks Online and QuickBooks Payments is governed by Intuit's own Terms of Service, the QuickBooks Payments merchant agreement, and Intuit's Privacy Statement. QuickBooks Payments requires an approved merchant account; Intuit decides approval, fees, funding, holds and chargebacks. Intuit may change, limit or discontinue its services or developer interfaces at any time, which may change or end what the connection can do, and we are not responsible for those changes.
  • Your obligations. You will use the connection only for your own business, in compliance with Intuit's terms, card-network rules and the law, and only for data you are entitled to access. You will keep your QuickBooks credentials to yourself; the Platform never asks for them. We may suspend or end the connection if we reasonably believe it is being misused, if a security issue arises, or if Intuit requires it.
  • Third-party beneficiary. Intuit and its affiliates are intended third-party beneficiaries of this Section 5 and may enforce it directly against you. No one else is a third-party beneficiary of this EULA.

6. Other third-party services

The Platform also relies on Microsoft 365 (email), Twilio (text messages, when enabled), Google's Places service (address suggestions) and OpenStreetMap's Nominatim and OSRM services (locating addresses and estimating road distance). Those providers' terms apply to their services, and we are not responsible for their availability or changes.

7. Support, updates and changes

We, not Intuit or any other provider, support the Platform. Contact us using Section 17. We may update, add to or remove features at any time; updates are covered by this EULA. If we plan to discontinue the Platform or a feature a Business User depends on, we will give reasonable notice, at least thirty days where practical, and a way to export Your Data.

8. Fees

Renters pay the amounts shown at checkout and in the Rental Agreement. Business Users pay the fees in their order form or subscription agreement with us, plus applicable taxes; payment-processing fees are charged by Intuit under the merchant agreement, not by us. We may suspend a Business User's access for non-payment after notice.

9. Term and termination

This EULA starts when you first use the Platform and continues until ended. You may stop using the Platform at any time; a Business User may end its subscription as its agreement with us provides. We may suspend or end your access immediately if you breach this EULA, create a security or legal risk, or fail to pay, and otherwise on reasonable notice. On termination your license ends and access stops. A Business User may export Your Data for thirty days after termination; we then delete or anonymize it within ninety days, except what we must keep for legal, tax, insurance or dispute purposes, which we keep only for that purpose. Sections 2, 4, 5, 10 to 16 and anything else that by its nature should survive, survive termination.

10. Confidentiality

Each of us will protect the other's non-public business information received through the Platform with at least reasonable care, use it only for this EULA, and not disclose it except to people who need it and are bound to keep it confidential, or as the law requires. This does not restrict our use of Your Data as Section 4 and the Privacy Policy allow.

11. Intellectual property and feedback

The Platform, its code, design, text, graphics, rate logic and documentation, and the names and logos of WARLRD, belong to us or our licensors and are protected by copyright, trademark and other laws. "QuickBooks" and "Intuit" are trademarks of Intuit Inc.; the Platform is not sponsored by or affiliated with Intuit. If you send us ideas or feedback, we may use them without obligation to you.

12. Disclaimers

The Platform is provided "as is" and "as available". To the fullest extent the law allows, we and our licensors and suppliers (including Intuit) disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not promise the Platform will be uninterrupted, error-free or secure, that connections to Intuit or other providers will stay available, or that it will meet your needs. The Platform is a tool. It does not give accounting, tax or legal advice; a Business User remains responsible for its books, filings and compliance.

13. Limitation of liability

To the fullest extent the law allows, neither we nor our licensors or suppliers (including Intuit) will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or related to this EULA or the Platform, even if advised of the possibility. Our total liability for all claims arising out of or related to this EULA or the Platform will not exceed, for a Business User, the fees it paid us for the Platform in the twelve months before the claim, and for a Renter, one hundred dollars ($100). This Section does not limit liability for the equipment under the Rental Agreement, or any liability that cannot be limited by law.

14. Indemnity

You will defend, indemnify and hold harmless WARLRD, its owners, staff, licensors and suppliers from claims, losses and expenses, including reasonable attorney fees, arising from Your Data, your use of the Platform or the QuickBooks connection in breach of this EULA or the law, or your violation of anyone's rights.

15. Governing law and disputes

This EULA is governed by the laws of the State of Utah, without regard to its conflict-of-law rules. The state and federal courts in Salt Lake County, Utah have exclusive jurisdiction over disputes arising out of it, and you consent to that jurisdiction, except that either party may seek injunctive relief anywhere to protect its intellectual property or confidential information. If any part of this EULA is unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver. You may not assign this EULA without our written consent; we may assign it to a successor to our business.

16. Changes to this EULA

We may update this EULA by posting a new version at this address with a new effective date. For material changes we will give notice in the Platform or by email at least fourteen days before they take effect for existing Business Users. Continued use after the effective date means you accept the new version. If you do not agree, stop using the Platform and, for Business Users, disconnect QuickBooks and contact us to close your account.
